BY USING CCC PAYROLL (as defined below) AND/OR CCC PAY WORKFLOW (as defined below), CUSTOMER IS REPRESENTING TO CCC Intelligent Solutions Inc., formerly known as CCC Information Services Inc., (“CCC”) THAT (1) CUSTOMER AND CCC ARE PARTIES TO AN AUTOMOTIVE SERVICES MASTER LICENSE AGREEMENT (such agreement, THE “MLA”), (2) CUSTOMER IS AGREEING THAT ITS USE OF CCC PAYROLL AND/OR PAY WORKFLOW WILL BE SUBJECT TO THE MLA AND THESE TERMS OF USE (the “TOU”), AND (3) CUSTOMER IS LICENSING CCC PAYROLL AND/OR PAY WORKFLOW UNDER THE MLA. THE TOU AND THE MLA ARE COLLECTIVELY REFERRED TO AS THE “AGREEMENT.”
THESE TOU, AND YOUR MLA, GOVERN YOUR ACCESS TO AND USE OF CCC® PAYROLL (“PAYROLL” OR “CCC PAYROLL”) and/or CCC® Pay Workflow (“Pay Workflow”), INCLUDING ANY DOCUMENTATION, FUNCTIONALITY AND SERVICES OFFERED ON OR THROUGH CCC PAYROLL.
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE YOU START TO USE PAYROLL AND/OR PAY WORKFLOW. BY USING PAYROLL AND/OR PAY WORKFLOW, YOU ACKNOWLEDGE AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THE AGREEMENT. SHOULD YOU NOT ACKNOWLEDGE AND AGREE TO THE TERMS AND CONDITIONS OF THE AGREEMENT, OR IF YOU DO NOT READ OR FULLY UNDERSTAND THESE TOU, YOU MUST IMMEDIATELY DISCONTINUE USE OF CCC PAYROLL AND/OR PAY WORKFLOW. CONTINUED USE OF CCC PAYROLL AND/OR PAY WORKFLOW SIGNIFIES YOUR CONTINUED ACCEPTANCE OF THE AGREEMENT AND ANY CHANGES TO IT. CCC MAY AMEND THE TERMS OF THE TOU AT ANY TIME WITHOUT NOTICE AND IT IS YOUR RESPONSIBILITY TO PERIODICALLY CHECK THESE TOU FOR ANY UPDATES OR MODIFICATIONS. REFERENCES IN THE AGREEMENT TO “CUSTOMER, “YOU”, OR “YOUR” OR VARATIONS THEREOF SHALL MEAN INDIVIDUAL CUSTOMERS OF CCC PAYROLL AND/OR PAY WORKFLOW AS WELL AS YOUR EMPLOYER, AND REFERENCE TO “CCC,” “WE,” “OUR,” “US,” OR VARATIONS OF ANY OF THOSE SHALL MEAN CCC INTELLIGENT SOLUTIONS INC. AND ITS AFFILIATES. BY ENTERING INTO THIS AGREEMENT, YOU REPRESENT AND WARRANT YOU ARE AUTHORIZED TO ACCEPT THE TERMS OF THIS AGREEMENT ON BEHALF OF AND TO BIND YOU AND YOUR EMPLOYER TO THE TERMS OF THIS AGREEMENT. YOU MAY NOT USE CCC PAYROLL AND/OR PAY WORKFLOW UNLESS YOU HAVE AN AUTOMOTIVE SERVICES MASTER LICENSE AGREEMENT WITH CCC.
With CCC Payroll, Customer will be provided with the following functionality within CCC Repair Workflow: Integrations with Check Technologies Inc. (“Check”) in order to enable Customer to: (i) set up Customer’s company and financial information within Check’s products and environment; (ii) send information relating to Customer’s company and payroll to Check, including sensitive personal data such as EIN, SSN and financial account details for Check to process Company’s payroll payments and tax filings according to Customer’s instructions; (iii) review the correctness of payroll information each pay period, including out of cycle pay periods; and (iv) receive information and documents from Check regarding Company’s payroll and tax filings, including paystubs and employee W2 forms (collectively the “Check Integrations”).
With Pay Workflow, Customer’s Authorized Users will be able to view select details of their pay and request changes to their pay for pay periods within CCC Repair Workflow.
CCC Payroll uses integrations with third party Check. CCC does not maintain actual or constructive control over payment funds and Check is solely responsible for the transfer of all payroll and tax funds. Customer’s use of the Check Integrations and Check’s services is further subject to terms and conditions set forth by Check. Prior to using the Check Integrations, Customer must agree to the Check terms and conditions.
Customer acknowledges that CCC Payroll is dependent on CCC maintaining an agreement with Check with respect to Check’s payroll and tax processing services (the “Integration Agreement”), and Customer’s acceptance of Check’s terms and conditions. Check is a third party and not a third party beneficiary of the Agreement. Customer is not a party to, or a third party beneficiary of, the Integration Agreement. In the event the Integration Agreement with Check expires or is terminated, the Check Integrations will no longer be available and Customer’s license to use CCC Payroll will terminate immediately.
CCC is not responsible or liable in any manner for the payroll or tax processing services or any other services provided by Check to Customer, including compliance by Customer and Check with any laws, rules, regulations or other standards applicable to tax or payroll processing. CCC is not the agent, fiduciary, trustee, or other representative of Customer or Check or any third party. For clarity, CCC has no obligation to reconcile any payroll, tax, or other information received by CCC from Customer or Check, including following the expiration or termination of the applicable Integration Agreement or this Agreement.
“CCC Customer Data” means any data inputted into CCC Payroll or any Check Integration. Customer hereby authorizes CCC to transmit and provide to Check, and authorizes Check to receive and use CCC Customer Data as permitted under the Check terms and conditions. Such CCC Customer Data may include, but is not limited to, any company or payroll data that Customer has inputted into CCC ONE, including Customer’s employee’s contact information, wages, or labor hours, and any information inputted into a Check Integration including other information needed to process payroll.
Customer represents and warrants that Customer has all necessary rights, consents, and authorizations to (i) provide CCC Customer Data to CCC and Check, (ii) permit CCC to transmit CCC Customer Data via the Check Integrations to Check, and (iii) permit Check to use the CCC Customer Data as permitted under the Check terms and conditions. Customer additionally represents and warrants that (x) it will use CCC Payroll solely for payroll processing, and (y) it will use Pay Workflow solely to review and update, and allow Authorized Users to review and request updates to, details of an Authorized User’s pay.
Notwithstanding any other terms set forth in the Agreement, Customer is responsible for (a) determining jurisdictions where CCC Payroll and the payroll and tax services as performed by Check, and Customer’s use thereof are allowed in accordance with applicable federal, state, and local laws and regulations; (b) compliance with the applicable federal, state and local laws and regulations regarding CCC Payroll and/or Pay Workflow, and Customer’s payroll and tax processing in all jurisdictions; (c) providing all information necessary to process Customer’s payroll or taxes in a timely manner; (d) the content and correctness of all CCC Customer Data, including payroll, tax, and other information; and (e) obtaining the proper consent for the provision and use of any CCC Customer Data, information, or data pursuant to this Agreement.
Customer acknowledges and agrees that it may not do any of the following: (a) translate, port, modify, or make derivative works of CCC Payroll or Pay Workflow; (b) rent, sell, assign, lease, sublicense or otherwise transfer or provide access to CCC Payroll or Pay Workflow and or use them in any manner not expressly authorized by the Agreement; (c) derive or attempt to derive the source code, source files, or structure of all or any portion of CCC Payroll or Pay Workflow (or any applications or code used to provide CCC Payroll or Pay Workflow) by reverse engineering, disassembly, decompilation or any other means; or (d) remove or modify any proprietary notice of CCC from any copy of CCC Payroll or Pay Workflow.
Customer agrees to, at its own expense, indemnify, defend and hold CCC fully harmless against any action, costs or expense asserted against CCC (including any such action by or through Check), including reasonable attorneys’ fees, to the extent that such action, costs or expenses arise in connection with (i) the use or misuse of CCC Payroll or Pay Workflow, (ii) a breach of Customer’s representations and warranties, (iii) any breach by Customer of its obligations set forth in the Agreement, or (iv) any breach of this Agreement or the Check terms and conditions. The indemnity obligation set forth herein shall continue in full force and effect after expiration or termination of the Agreement.
All right, title and interest (including all copyrights, patents, patent rights, trade secrets, trademarks, service marks, trade names, moral rights and other intellectual property and proprietary rights) in CCC Payroll and Pay Workflow, and data provided by CCC (including any modification, translation or adaptation thereof and any other improvement or development thereto or based thereon, which is suggested, developed, supplied, installed or paid for by or on behalf of Customer), are and shall remain the sole and exclusive property of CCC or its licensors.
Any proprietary data supplied by Customer to be incorporated or used with CCC Payroll is owned by Customer. Customer hereby grants CCC full right and authority to use such data (a) to be incorporated or used with CCC’s programs and/or services; (b) for the purpose of creating and providing reports and analysis to Customer; (c) for any internal industry, market, and trend analysis, product improvement, and research and development by, or on behalf of, CCC and its affiliates; and (d) in de-identified form, within CCC’s and its affiliates’ products and services. CCC’s use of this data may continue after the expiration or termination of your MLA.
Customer agrees that any information provided pursuant to CCC Payroll and Pay Workflow, including, but not limited to, software, databases, documentation and business plans (the “Confidential Information”), is proprietary to CCC and is a trade secret to be treated as confidential. Customer agrees to hold all Confidential Information in the strictest confidence and such Confidential Information may only be disclosed to Customer employees who are required to have access to the Confidential Information for purposes of evaluating hereunder. Customer further agrees to take appropriate action by instruction, agreement and otherwise with its employees to inform them of the proprietary, trade secret and strictly confidential nature of the Confidential Information and to obtain the employees compliance with these TOU. Customer shall promptly notify CCC if it learns of any unauthorized disclosure or use of the Confidential Information and reasonably cooperate with CCC to help CCC regain possession of the Confidential Information and prevent further unauthorized use or disclosure.
CCC may, in its sole discretion and without liability to you or any third party, suspend or terminate your access to CCC Payroll or Pay Workflow and refuse any and all current or future access to and use of CCC Payroll or Pay Workflow (or any portion thereof). CCC reserves the right to stop offering and/or supporting all or part of CCC Payroll or Pay Workflow at any time either permanently or temporarily, at which point your right to use CCC Payroll or Pay Workflow or any part of them will be automatically terminated or suspended.
CCC PAYROLL, PAY WORKFLOW, CONFIDENTIAL INFORMATION AND OTHER MATERIALS PROVIDED HEREUNDER ARE PROVIDED BY CCC “AS IS,” AND WITHOUT WARRANTY OF ANY KIND. CCC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND TITLE/NONINFRINGEMENT. CCC DOES NOT WARRANT THAT CCC PAYROLL OR PAY WORKFLOW, CONFIDENTIAL INFORMATION AND OTHER MATERIALS PROVIDED HEREUNDER WILL MEET CUSTOMER’S REQUIREMENTS OR THAT THE OPERATION OF CCC PAYROLL OR PAY WORKFLOW WILL BE UNINTERRUPTED OR ERROR FREE. CCC DOES NOT WARRANT OR MAKE ANY REPRESENTATION REGARDING THE USE OR THE RESULTS OF THE USE OF CCC PAYROLL OR PAY WORKFLOW IN TERMS OF ITS CORRECTNESS, ACCURACY, QUALITY, RELIABILITY, APPROPRIATENESS FOR A PARTICULAR TASK OR APPLICATION, OR OTHERWISE. CUSTOMER ASSUMES ALL RISK WITH RESPECT TO THE USE OF CCC PAYROLL AND/OR PAY WORKFLOW. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY CCC OR CCC’S AGENTS SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY. CCC SHALL HAVE NO LIABILITY FOR ANY DIRECT DAMAGES, LOST PROFITS, LOSS OF GOOD WILL, LOSS OF DATA OR BUSINESS INFORMATION, BUSINESS INTERRUPTION OR ANY INDIRECT, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES ARISING OUT OF THE USE OF CCC PAYROLL OR PAY WORKFLOW HEREUNDER EVEN IF CCC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
